Terms of Service

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@argday.com if you suspect unauthorised access to your account.

The person who creates a workspace is designated as the "Owner" and is responsible for:

• All activity that occurs within the workspace
• Ensuring all team members comply with these Terms
• Managing user access, roles, and permissions
• Payment of applicable subscription fees
• Data entered into the workspace by all members

Workspace Owners may invite team members. All team members are bound by these Terms. Owners are responsible for promptly removing access for team members who leave the organisation or whose access should be revoked.

You are responsible for all activities under your account. ArgDay is not liable for losses arising from unauthorised account use caused by your failure to keep credentials secure. Do not share your login credentials.

You may use ArgDay solely for lawful legal practice management purposes, in accordance with all applicable laws, bar council regulations, and professional conduct rules.

You must not:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload, store, or process content that is illegal, infringing, defamatory, obscene, or violates any third party's rights
• Upload content that contains malware, viruses, or malicious code
• Attempt to gain unauthorised access to any part of the Service, other accounts, or our systems
• Attempt to reverse engineer, decompile, or extract source code from any part of the Service
• Use automated bots, scrapers, or crawlers to extract data from the platform
• Resell, sublicense, or commercialise access to ArgDay without our written consent
• Use AI features to generate content intended to mislead courts or opposing parties
• Impersonate any person, entity, or legal professional
• Interfere with or disrupt the integrity or performance of the Service or servers
• Circumvent any security measures, usage limits, or access controls
• Use the Service to store or process data that violates attorney-client privilege in ways you are not authorised to
• Use the Service in a way that could bring the legal profession into disrepute

ArgDay does not replace your professional judgment. You remain solely responsible for:

• The accuracy and completeness of all data you enter into the platform
• Verifying AI-generated summaries and not relying on them without independent review
• Ensuring you have client consent to upload and process confidential documents
• Compliance with Bar Council of India rules and applicable professional conduct regulations
• Compliance with court rules, filing deadlines, and procedural requirements

You retain full ownership of all data, documents, and content you upload or create within ArgDay ("Your Data"). We do not claim any ownership rights over Your Data. We access Your Data solely to provide the Service.

By uploading or entering data into ArgDay, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Data solely as necessary to provide and operate the Service. This licence terminates when you delete the data or close your account.

The ArgDay platform, software, trademarks, logos, user interface design, and all related intellectual property are owned exclusively by Cog9 Technologies and are protected under Indian and international intellectual property law. You may not copy, modify, distribute, or create derivative works from any part of our platform without prior written consent.

If you provide feedback, suggestions, or ideas about the Service, you grant us an irrevocable, royalty-free licence to use them for any purpose. We are not obligated to act on feedback.

AI summaries and responses generated by the Service are derived from your documents and are provided for informational purposes only. You may use them within your legal practice, but you acknowledge they may contain errors and must be independently verified before reliance.

ArgDay is offered on a subscription basis. Plan details, features, and pricing are listed on our pricing page. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

A free plan is available with limited features. We reserve the right to modify or discontinue the free plan at any time with 30 days' notice.

Subscription fees are charged in Indian Rupees (INR) and are non-refundable except as required by law or as stated in our refund policy. Failure to pay may result in suspension or termination of your account.

All prices are exclusive of applicable taxes. GST or other applicable Indian taxes will be added to your invoice where required by law.

We offer a 7-day refund window for new paid subscriptions. Refund requests must be made to support@argday.com within 7 days of the subscription start date. Refunds are not available for partial billing periods, downgrades, or unused features.

We target 99.5% uptime for the Service, excluding scheduled maintenance. We will provide advance notice of scheduled downtime where practicable. We do not guarantee uninterrupted, error-free service.

We may temporarily suspend the Service for maintenance, upgrades, or security patches. We will endeavour to schedule maintenance during low-usage hours and notify users in advance.

ArgDay is not liable for any loss or damage resulting from Service downtime, including missed hearings, filing deadlines, or court dates. You are responsible for maintaining appropriate backup systems and not relying solely on ArgDay for time-critical obligations.

You are solely and entirely responsible for:

• Maintaining the confidentiality and security of your login credentials and OTP codes
• All activity that occurs under your account, whether authorised by you or not
• Ensuring you sign out from shared, public, or untrusted devices
• Keeping your registered email account secure - compromise of your email may result in compromise of your ArgDay account
• The security of devices, networks, and browsers used to access ArgDay
• Promptly notifying us at support@argday.com if you suspect any unauthorised access to your account

Workspace Owners and Admins are responsible for:

• Controlling team member access and ensuring appropriate role assignments
• Immediately revoking access for team members who leave or no longer require access
• Not sharing account credentials among team members
• Ensuring that invited team members are authorised to access the workspace data

ArgDay shall have no liability whatsoever for any loss, damage, or breach arising from:

• Your failure to maintain the security of your credentials or email account
• Unauthorised access resulting from phishing, social engineering, or attacks targeting you directly
• Malware, keyloggers, spyware, or other security threats on your own devices
• Your sharing of login credentials, OTP codes, or session tokens with third parties
• Unauthorised access caused by your delay in revoking team member access
• Security vulnerabilities in third-party software, browsers, operating systems, or networks you use

ArgDay implements industry-standard security measures but cannot guarantee absolute security. ArgDay shall not be liable for:

• Data breaches, hacks, or cyberattacks carried out by third parties, including sophisticated or nation-state threat actors
• Denial-of-service attacks or other attacks that disrupt service availability
• Security incidents arising from zero-day vulnerabilities in underlying infrastructure or third-party software
• Data interception, manipulation, or loss during transmission over the public internet
• Security failures at sub-processors (Supabase, OpenAI, Resend), subject to their own terms and liability
• Loss of data, documents, or information resulting from any cyberattack, regardless of the extent of damage

You acknowledge that no platform or system is immune to security threats and that you use ArgDay accepting this inherent risk.

TO THE FULLEST EXTENT PERMITTED BY LAW, ARGDAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of revenue, profits, or business
• Loss of data or documents
• Missed court dates, filing deadlines, or hearing dates
• Professional sanctions, disciplinary action, or bar council proceedings
• Loss of clients or professional reputation
• Any damages arising from reliance on AI-generated content

ArgDay's total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of: (a) the amount you paid to ArgDay in the 3 months preceding the claim, or (b) ₹5,000 (Indian Rupees Five Thousand).

You acknowledge that the limitations in this section reflect a reasonable allocation of risk and are an essential element of the basis on which ArgDay provides the Service at its current pricing.

You may cancel your subscription at any time by emailing billing@argday.com. Your access will continue until the end of the current billing period. You should export your data before cancellation.

We may suspend or terminate your account with immediate effect if you:

• Materially breach these Terms
• Fail to pay applicable fees
• Use the Service in a way that poses a security risk or legal liability to ArgDay or other users
• Are subject to sanctions or legal orders requiring us to suspend access

We will provide notice and an opportunity to remedy non-material breaches where reasonably practicable.

Upon termination, your access to the Service ceases immediately. Your data will be retained for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted except where required by law.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination of these Terms.

These Terms are governed by and construed in accordance with the laws of India. The courts of India shall have jurisdiction over any disputes.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.

If the dispute is not resolved through negotiation, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator agreed upon by both parties, or appointed by the relevant authority. The seat of arbitration shall be India. The language of arbitration shall be English.

You agree that any dispute will be resolved individually. You waive any right to bring or participate in any class, collective, or representative action against ArgDay.

These Terms, together with the Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and ArgDay regarding the Service.

We may amend these Terms from time to time. Material changes will be notified via email and in-app notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not accept changes, you may terminate your account before the effective date.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity without notice.

ArgDay shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, cyberattacks, internet outages, or pandemic.
